Look on Process Explorer and shutdown processes with big count of handles. We can test theory about handles restrictions
.

Post here process explorer screenshot (or log) just after system reports about insufficient system resources. Select all "Process Perfomance" flags in View->Select columns

The problem is, that according to whatever system observation tool I use, there are always 600 to 900 MB of free physical RAM memory... no program using all those, would be easy going to find the baddie then ...
The messages are always seemingly coming out of nowhere, without any sensible reason ... |

try to profile system activity with RegMon/FileMon
