I noticed the new EULA for Process Explorer (and other utilities) and understand that I can only use it for fun now.

I want to use the new versions at work/customer sites.  What are the license terms and costs for a commerical license?  Is there a price list somewhere or a EULA for purchased licenses posted?

Thanks,
Wes

Hello, Wes.

Seems as if the EULA to found here at the time of writing does not explain at all,
+ if you can purchase Sysinternals former freeware tools
+ whom to contact
+ how much the price might be or where to find out.

SYSINTERNALS SOFTWARE LICENSE TERMS

These license terms are an agreement between Sysinternals (a wholly owned subsidiary of Microsoft Corporation) and you. Please read them. They apply to the software you are downloading from Systinternals.com, which includes the media on which you received it, if any. The terms also apply to any Sysinternals
* updates,
* supplements,
* Internet-based services, and
* support services
for this software, unless other terms accompany those items. If so, those terms apply.

BY USING THE SOFTWARE, YOU ACCEPT THESE TERMS. IF YOU DO NOT ACCEPT THEM, DO NOT USE THE SOFTWARE.

If you comply with these license terms, you have the rights below.

1. INSTALLATION AND USE RIGHTS.
* You may install and use one copy of the software on your device. You may use the software only to internally evaluate and test it.

2. SCOPE OF LICENSE. The software is licensed, not sold. This agreement only gives you some rights to use the software. Sysinternals reserves all other rights. Unless applicable law gives you more rights despite this limitation, you may use the software only as expressly permitted in this agreement. In doing so, you must comply with any technical limitations in the software that only allow you to use it in certain ways.    You may not
* work around any technical limitations in the software;
* reverse engineer, decompile or disassemble the software, except and only to the extent that applicable law expressly permits, despite this limitation;
* make more copies of the software than specified in this agreement or allowed by applicable law, despite this limitation;
* publish the software for others to copy;
* rent, lease or lend the software;
* transfer the software or this agreement to any third party; or
* use the software for commercial software hosting services.

3. EXPORT RESTRICTIONS. The software is subject to United States export laws and regulations. You must comply with all domestic and international export laws and regulations that apply to the software. These laws include restrictions on destinations, end users and end use. For additional information, see www.microsoft.com/exporting.

4. SUPPORT SERVICES. Because this software is “as is,” we may not provide support services for it.

5. ENTIRE AGREEMENT. This agreement, and the terms for supplements, updates, Internet-based services and support services that you use, are the entire agreement for the software and support services.

6. APPLICABLE LAW.
a. United States. If you acquired the software in the United States, Washington state law governs the interpretation of this agreement and applies to claims for breach of it, regardless of conflict of laws principles. The laws of the state where you live govern all other claims, including claims under state consumer protection laws, unfair competition laws, and in tort.
b. Outside the United States. If you acquired the software in any other country, the laws of that country apply.

7. LEGAL EFFECT. This agreement describes certain legal rights. You may have other rights under the laws of your country. You may also have rights with respect to the party from whom you acquired the software. This agreement does not change your rights under the laws of your country if the laws of your country do not permit it to do so.

8. DISCLAIMER OF WARRANTY.   THE SOFTWARE IS LICENSED “AS-IS.” YOU BEAR THE RISK OF USING IT. SYSINTERNALS GIVES NO EXPRESS WARRANTIES, GUARANTEES OR CONDITIONS. YOU MAY HAVE ADDITIONAL CONSUMER RIGHTS UNDER YOUR LOCAL LAWS WHICH THIS AGREEMENT CANNOT CHANGE. TO THE EXTENT PERMITTED UNDER YOUR LOCAL LAWS, SYSINTERNALS EXCLUDES THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

9. LIMITATION ON AND EXCLUSION OF REMEDIES AND DAMAGES. YOU CAN RECOVER FROM SYSINTERNALS AND ITS SUPPLIERS ONLY DIRECT DAMAGES UP TO U.S. $5.00. YOU CANNOT RECOVER ANY OTHER DAMAGES, INCLUDING CONSEQUENTIAL, LOST PROFITS, SPECIAL, INDIRECT OR INCIDENTAL DAMAGES.
This limitation applies to
* anything related to the software, services, content (including code) on third party Internet sites, or third party programs; and
* claims for breach of contract, breach of warranty, guarantee or condition, strict liability, negligence, or other tort to the extent permitted by applicable law.
It also applies even if Sysinternals knew or should have known about the possibility of the damages. The above limitation or exclusion may not apply to you because your country may not allow the exclusion or limitation of incidental, consequential or other damages.
Please note: As this software is distributed in Quebec, Canada, some of the clauses in this agreement are provided below in French.

Comparing this new EULA to the previous one

This software is provided "as is" and use of the software is at your own risk. Sysinternals disclaims any and all warranties, whether express, implied or statutory, including, without limitation, any implied warranties of merchantability, fitness for a particular purpose or non-infringement of third-party rights. Sysinternals does not warrant that the software is free of defects.

You are allowed to use software published by Sysinternals at home or at work without paying a commercial license fee provided that you downloaded the software yourself directly from Sysinternals, and:

    * Use the software on computers for which you are the primary user; or
    * Use the software on computers for which there is no primary user
       (e.g. servers, including Terminal Servers) and you are a full-time
       employee of the company that owns the computer; or
    * Use the software on computers within your residence

A commercial license is required to use the software in any way not covered above, including for example:

    * Redistributing the software in any manner, including by computer
      media, a file server, an email attachment, etc.
    * Embedding the software in or linking it to another program
    * Use of the software for technical support on customer computers

Sales of commercial licenses support Sysinternals product development and assure that this Web site continues to offer valuable, up-to-date tools. Established software companies redistribute these utilities and incorporate the code into their products because this offers the potential to save significant development time. Sysinternals commercial licenses are priced according to the complexity of the licensed code and its role in the target application. If you are interested in licensing Sysinternals tools or source code for redistribution or for inclusion with or as part of a software product, please contact syslic@microsoft.com.

I would recommend to try and contact syslic@microsoft.com about any license and price question.

This does not only apply to Process Explorer, but to any of the Sysinternals utilities, because as far as I can tell the EULA.TXT dated 11-Feb-2006 inside every single download archive has been replaced by the new EULA.TXT dated 19-July-2006. (cf. here)

Kind regards,
Karl

Hello, folks.

As Mark - among other interesting things - pointed out in his blog about his first week in Redmond the Sysinternals EULA.TXT has been revised and rewritten.

Please, feel encouraged to have a look at the current Sysinternals license agreement, dated July 28th, 2006.

P.S.:
Thought it might ease comparison if a copy of the current version of the EULA.TXT were presented in this thread as well.

Thanks for the update.

I would like to see what a layman's understanding of this line means:

1. INSTALLATION AND USE RIGHTS. You may install and use any number of copies of the software on your devices.

Does this mean if I am helping a small organisation I can tell the office manager to do an install of all the PCs in the office?

Simply put, there is no limit to the number of copies you have running on a per-device basis.

The real issue is whether I can internally distribute the application via a file share. This seems to be changed under the new EULA.
